These Terms of Service govern your use of the Nakovia platform. By creating an account or using Nakovia in any way, you agree to these terms. Please read them carefully.
1. Acceptance of Terms
- By accessing or using Nakovia ("Platform"), you agree to be bound by these Terms of Service and our Privacy Policy.
- If you do not agree, do not use the Platform.
- You must be at least 18 years old to create an account.
2. What Nakovia Is
- Nakovia is a marketplace that connects property owners ("Hosts") who have advertising space with local businesses ("Advertisers") seeking hyperlocal ad placement.
- We facilitate the connection, verification, and payment process. We are not a party to the advertising agreement between Hosts and Advertisers.
- Nakovia does not guarantee specific advertising results or audience sizes.
3. Account Terms
- You are responsible for keeping your account credentials confidential.
- You are responsible for all activity that occurs under your account.
- You must provide accurate and complete information when signing up.
- One person or entity may not maintain more than one account.
4. Advertiser Terms
- Advertisers are responsible for ensuring their ad design complies with all applicable laws and regulations.
- Ad content must not be false, misleading, or infringe on third-party intellectual property.
- Nakovia reviews all ad designs before they go live and reserves the right to reject content that violates these standards.
- Advertisers may not use Nakovia to promote illegal products or services.
5. Homeowner Terms
- Hosts represent that they have the legal right to place advertising on their property.
- Hosts are responsible for ensuring their listing does not violate local ordinances, HOA rules, or lease agreements.
- Hosts must maintain the ad space in good condition throughout the booking period.
- Hosts who cancel an approved booking may be subject to account penalties.
6. Prohibited Content
- Adult or sexually explicit material.
- Content promoting illegal activity or controlled substances.
- Political campaign advertising.
- Tobacco and alcohol advertising where prohibited by law.
- Content that discriminates on the basis of race, religion, gender, sexual orientation, or national origin.
- Any content Nakovia determines is harmful, misleading, or inconsistent with community standards.
7. Payment Terms
- All payments are processed by our secure payment processor. By using the platform, you agree to their terms of service.
- Nakovia charges a platform fee on each transaction. This fee is included in the listed price.
- Homeowners keep 90% of the booking price. Payouts are processed securely and deposited directly to your bank.
- Hosts must complete payout onboarding before receiving payouts.
- All prices are in USD.
8. Cancellation Policy
- Advertisers may cancel before their ad goes live for a full refund.
- After an ad is installed, refunds are not available.
- Hosts who cancel a confirmed booking will have their account reviewed.
- Contact support@nakovia.com for dispute resolution.
9. Intellectual Property
- You retain ownership of ad designs and photos you upload to Nakovia.
- By uploading content, you grant Nakovia a limited license to display, store, and use that content to operate the platform.
- Nakovia's name, logo, and platform design are our intellectual property. Do not reproduce them without permission.
10. Limitation of Liability
- Nakovia is not liable for damages arising from disputes between Hosts and Advertisers.
- We are not liable for property damage, lost revenue, or ad performance outcomes.
- Our total liability for any claim is limited to fees paid to Nakovia in the three months preceding the claim.
- We provide the platform "as is" without warranties of any kind.
11. Termination
- You may close your account at any time from your account settings.
- Nakovia may suspend or terminate accounts that violate these Terms.
- Outstanding bookings and payouts will be handled according to their existing terms on termination.
12. Governing Law
- These Terms are governed by the laws of the State of Texas, USA.
- Any disputes will be resolved through binding arbitration in accordance with AAA rules.
