These Pilot Terms describe the approved Pilot #1 operating structure and the controls implemented in the product.
Pilot scope. Liability, indemnity, governing-law, venue, and dispute-resolution provisions are intentionally not activated here and require professional legal review before final publication.
1. Acceptance of Terms
- These Pilot Terms are between you and Nakovia, Inc. They apply when you affirmatively accept the version presented in an advertiser checkout or property-owner listing agreement.
- Nakovia records the Terms version and acceptance timestamp with the applicable booking or listing.
2. What Nakovia Is
- Nakovia is a marketplace that connects property owners ("Hosts") who have advertising space with local businesses ("Advertisers") seeking hyperlocal ad placement.
- Nakovia provides the marketplace and operational services described in the product. The property owner provides the underlying right to use the approved placement for advertising.
- Nakovia is not an escrow agent. Payment-role language depends on the verified payment-processor architecture and is not expanded by these Terms.
- Nakovia does not guarantee specific advertising results or audience sizes.
3. Account Terms
- You must be able to enter a binding agreement for yourself or the organization you represent.
- You are responsible for keeping your account credentials confidential.
- You are responsible for all activity that occurs under your account.
- You must provide accurate and complete information when signing up.
- One person or entity may not maintain more than one account.
4. Advertiser Terms
- Advertisers represent that they own or have sufficient rights and permissions for submitted logos, photos, graphics, text, trademarks, likenesses, claims, and other creative.
- Advertisers remain responsible for their advertising claims and submitted content. Content must not be unlawful, deceptive, unsubstantiated, infringing, fraudulent, threatening, defamatory, or privacy-invasive.
- Nakovia approval and property-owner approval are required before the current workflow can send artwork to print. Approval is not a legal-clearance guarantee.
- Advertisers may not use Nakovia to promote illegal products or services.
5. Property Owner Terms
- Hosts represent that they own or have sufficient authority to offer the placement and disclose known lease, HOA, easement, deed, and other material property restrictions.
- Nakovia approval is not zoning, permit, ordinance, or sign-law clearance. Pilot placements require a separate property-specific compliance checkpoint before go-live.
- Hosts must maintain the ad space in good condition throughout the booking period.
- Hosts who cancel an approved booking may be subject to account penalties.
6. Prohibited Content
- Pilot #1 accepts ordinary local-business advertising only and rejects campaigns requiring specialized regulatory review.
- Nakovia rejects unlawful, deceptive, unsubstantiated, infringing, fraudulent, threatening, defamatory, privacy-invasive, payment-processor-prohibited, supplier-prohibited, or location-prohibited content.
- AI screening is advisory. Human approval is authoritative and required for Pilot #1.
7. Payment Terms
- Checkout, payment methods, account checks, refunds, and transfers use a third-party payment processor. Processor-authoritative state controls what can actually be captured, released, refunded, or transferred.
- Checkout separately shows setup charges, monthly rent treatment, and the end-of-run takedown charge applicable to the booking.
- The standard property-owner share is 90% of monthly rent. Setup charges are separate.
- Payout eligibility depends on captured rent, approved installation verification, payout-account readiness, the dispute window, and admin approval. Bank posting time varies.
- All prices are in USD.
8. Cancellation Policy
- Before irreversible third-party work begins, avoidable and unearned amounts are cancelled, voided, refunded, or released subject to payment-provider mechanics.
- After disclosed irreversible supplier, production, or installation costs begin, documented costs Nakovia actually incurred may reduce a refund. An operator reviews the evidence; unincurred costs are never charged.
- A campaign that never becomes verified live is not treated as completed. Refund and recovery use actual incurred and avoidable costs, provider state, and zero-difference reconciliation.
- Hosts who cancel a confirmed booking will have their account reviewed.

9. Intellectual Property
- You retain ownership of ad designs and photos you upload to Nakovia.
- You grant Nakovia a limited, nonexclusive license only as needed to host, review, technically format, reproduce, print, deliver, install or display, verify, support, and retain creative for the booking. Necessary production providers receive only the access or sublicense needed to perform those services.
- Material creative changes require advertiser approval. Technical formatting that does not materially change the creative may be performed for production.
- Nakovia's name, logo, and platform design are our intellectual property. Do not reproduce them without permission.
9A. Your data
- What we collect about you, why, who else receives it, and how long we keep it is set out in full in the Privacy Policy, which forms part of these Terms.
- Settings, Privacy provides an immediate account-data export covering the categories implemented by that route. It is not currently a complete export of every record held by Nakovia or its providers.
- You can submit a correction or deletion request from the same place. The request is logged when the required database table is available; otherwise the product supplies a privacy email route. Deletion is completed manually, not by the button itself.
- Requests are handled manually for Pilot #1 with identity verification and lawful retention exceptions. Data is retained only as needed for accounts, bookings, support, security, disputes, accounting or tax, and legal purposes; these Terms do not promise an unapproved fixed period.
- Both sides of a booking see the other side’s name, and an advertiser sees the exact property address once a booking is confirmed. Neither side receives the other’s email address, phone number or payment details from us.
- Nakovia does not sell your personal information.
10. Limitation of Liability
- No liability cap, targeted indemnity, warranty exclusion, or remedy restriction is activated for Pilot #1 by this section. Those provisions require counsel-approved language and applicable-law review.
11. Termination
- You may submit an account-deletion request from privacy settings. The current control does not automatically close or erase an account.
- Nakovia may suspend or terminate accounts that violate these Terms.
- Outstanding bookings and payouts will be handled according to their existing terms on termination.
12. Governing Law
- No mandatory arbitration, governing-law selection, or exclusive venue is activated for Pilot #1 by these Terms. Any such provision requires counsel-approved substance and presentation.
